Terms of Service

1.1 GENERAL: The following General Terms and Conditions shall apply to all contracts and all business transactions between the Client and WickedWorld.co.uk. If the client uses general terms and conditions that conflict with the terms and conditions of WickedWorld.de, these shall not be recognised. These terms and conditions are expressly contradicted. Other terms and conditions are only agreed if they are expressly accepted by WickedWorld.co.uk in text form. Verbal collateral agreements shall only be effective if agreed by WickedWorld.co.uk.

1.2 CONCLUSION OF CONTRACT / SCOPE OF SERVICES: The contract is concluded by WickedWorld.co.uk's written confirmation of the order by e-mail or post. The scope of the contractual services results from the order confirmation or from the contract to be signed after confirmation. Ancillary agreements or amendments that change the scope of the contractual services require the express written confirmation of WickedWorld.de. WickedWorld.de shall inform the client immediately in writing of any changes or deviations in individual services from the content of the contract that become necessary after the contract has been concluded.

Insignificant deviations or changes to the agreements do not entitle the client to withdraw from the contract. Likewise, it shall not be entitled to an extraordinary right of termination. In the case of events which extend beyond the contractually agreed period, WickedWorld.de may charge additional expenses, in particular for catering and personnel. The Client is obliged to notify WickedWorld.de of any complaints without delay, i.e. while the event is still in progress, either directly or at least to the contact person on site. WickedWorld.de is prepared to rectify any justified defects immediately.

1.3 EVENT REGISTRATION AND PUBLIC CHARGES: Public charges and fees incurred in connection with the Projects, as well as foreigners' tax, GEMA fees, artists' social security contributions, etc. shall be borne by the Client. The Client shall be solely responsible for the timely registration of the event, the timely availability of the official permits as well as for the timely payment of all levies.

1.4 PAYMENT AND DEFERRAL: Unless otherwise agreed in writing, 50% of the calculated total amount shall be due after the signing of the contract. Payment shall be made within 10 days of the invoice date. The final invoice shall also be paid within 10 days of the invoice date. If the client falls into arrears with payment, WickedWorld.de is entitled to demand interest on arrears in accordance with § 288 BGB. WickedWorld.de is also at liberty to demand further compensation.

1.5 WITHDRAWAL: The Client is entitled to withdraw from the contract up to one month before the date of withdrawal. The date of receipt by WickedWorld.de is decisive for the declaration of withdrawal. The declaration of withdrawal must be made in text form; this is not possible by email.

1.6 PAYMENTS: Up to 3 weeks prior to the event 40% of the total amount is payable, up to 2 weeks prior to the event 50% of the total amount is payable and for one week prior to the event 100% of the total amount is payable.

Advance payments made to service providers will be invoiced. WickedWorld.de is entitled to demand further compensation in addition to the lump-sum compensation. The client retains the right to prove that the actual damage suffered by WickedWorld.de is less than the flat-rate compensation.

The right to extraordinary termination for good cause remains unaffected for both parties to the contract by the above provisions. For WickedWorld.de, failure to pay the agreed remuneration on time is a reason to withdraw from the contract.

1.7 LIABILITY: WickedWorld.de undertakes to prepare the services conscientiously and to select and monitor them carefully in accordance with the duty of care of a prudent businessman. The contractual liability of WickedWorld.de shall be governed exclusively by the written agreements between the Client and WickedWorld.de. The contractual liability of WickedWorld.de shall be limited to the agreed remuneration.

1.8 JURISDICTION / CHOICE OF LAW / MISCELLANEOUS: The place of jurisdiction for all disputes between WickedWorld.de and a merchant arising out of or in connection with contracts is Hann. Münden. All contracts shall be governed by the laws of the Federal Republic of Germany.

If the law of the Federal Republic of Germany refers to another legal system, the law of the Federal Republic of Germany shall nevertheless apply. The application of the UN Convention on Contracts for the International Sale of Goods is excluded. Claims arising from the contractual relationship may only be assigned by the Client with the prior written consent of WickedWorld.de.

Should one or more provisions of this contract be or become legally invalid, the validity of the remaining provisions shall not be affected thereby. However, the parties undertake to replace ineffective contractual provisions with a provision that corresponds or at least comes close to what was originally intended.
